CURORC TERMS OF USE AND PRIVACY POLICY

CURORC is a Class Management service for business users that allows Members to manage their business operations online. Services offered by CURORC (“CURORC” or “we”) includes the CURORC website (the “CURORC Website”), the CURORC Mobile App service, and any other features, content, or applications offered from time to time by CURORC in connection with the CURORC Website (collectively, the “CURORC Services”). Services of CURORC are hosted on AWS platform, US region.

This Terms of Use Agreement (“Agreement”) sets forth the legally binding terms for your use of the CURORC Service. By using CURORC Services, you agree to be bound by this Agreement, whether you are a “Visitor” (which means that you simply browse the CURORC Website) or you are a “Member” (which means that you have registered with CURORC). The term “User” refers to a Visitor or a Member. You are only authorized to use CURORC Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the CURORC Website and discontinue using CURORC Services immediately. If you wish to become a Member, make use of CURORC Services. You must read this Agreement and indicate your acceptance during the Registration process.

This Agreement includes CURORC’s policy for acceptable use of CURORC Services and Content posted on CURORC Website, your rights, obligations and restrictions regarding your use of CURORC Services, and CURORC’s Privacy Policy.

CURORC may modify this Agreement from time to time and such modification shall be effective upon posting by CURORC on the CURORC’s Website. You agree to be bound to any changes to this Agreement when you use CURORC Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

By agreeing to Terms of Use Agreement, you agree to allow this communication. CURORC does not take any responsibility for any correspondence between you and your students on any matter regardless if it relates to your student registrations, payments, or any other subject.

CURORC reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to all or any part of CURORC Services at any time, for any or no reason, with or without prior notice, and without liability.

1. Eligibility:

Use of and Membership in CURORC Services is void where prohibited. By using CURORC Services, you represent and warrant that (a) all registration information you submit is truthful, full (no abbreviations), and accurate; (b) you will maintain the accuracy of such information; and (c) your use of CURORC Services does not violate any applicable law or regulation.

2. Term:

This Agreement shall remain in full force and effect while you use CURORC Services or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on Member’s Account Setting page. CURORC may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect, including sections 5-17.

3. Password:

When you sign up to become a Member, you will be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify CURORC immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

4. Non-commercial Use by Members:

CURORC Services are for the personal use of Members only to manage business and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by CURORC. Illegal and/or unauthorized use of CURORC Services, including collecting usernames and/or e-mail addresses of Members by electronic or other means for the purpose of sending unsolicited e-mail or unauthorized framing of or linking to the CURORC Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of CURORC Services.

5. Proprietary Rights:

1. CURORC Services contain Content of CURORC (“CURORC Content”). CURORC Content is protected by copyright, trademark, patent, trade secret and other laws, and CURORC owns and retains all rights in the CURORC Content and CURORC Services.

CURORC Services contain Content of Users and other CURORC licensors. You may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any content appearing on or through CURORC Services.

6. Copyright Policy:

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of CURORC to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to CURORC by the copyright owner or the copyright owner’s legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on CURORC Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on CURORC Services; (iv) your address, telephone number, and e-mail address; (v) a written statement by you that you have, in good faith, a belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. 7. Privacy:

Use of the CURORC Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference. Information Collected Upon Registration (and during browsing on CURORC): When you create or reconfigure a CURORC account, you provide some personal information, such as your name, username, password, birthdate, gender, city, country, and email address.

8. Log Data:

Our servers automatically record information (“Log Data”) created by your use of Services. Log Data may include a non-private personal information such as your IP address, browser type, the referring domain, pages visited, your mobile carrier, device and application IDs, and search terms. Other actions, such as interactions with our website, applications and advertisements, may also be included in Log Data. If we haven’t already deleted the Log Data earlier, we will either delete it or remove any common account identifiers, such as your username, full IP address, or email address, after 18 months.

CURORC keeps Users’ records/logs and other information as required for legal and administrative purposes only.

9. Disclaimers:

CURORC is not responsible for any incorrect or inaccurate Content posted on the CURORC Website or in connection with CURORC Services, whether caused by Users of CURORC Services or by any of the equipment or programming associated with or utilized in CURORC Services. CURORC is not responsible for the conduct, whether online or offline, of any User of CURORC Services. CURORC assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member. CURORC is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any e-mail or players due to technical problems or traffic congestion on the Internet or on any of CURORC Services or combination thereof, including any injury or damage to Users or to any person’s computer related to or resulting from participation or downloading materials in connection with CURORC Services. Under no circumstances shall CURORC be responsible for any loss or damage, including personal injury or death, resulting from use of the CURORC Services, attendance at a CURORC event, from any Content posted on or through the CURORC Services, or from conduct of any Users of CURORC Services, whether online or offline. The CURORC Services are provided “AS-IS” and as available and CURORC expressly disclaims any warranty of fitness for a particular purpose or non-infringement. CURORC cannot guarantee and does not promise any specific results from use of CURORC Services.

10. Limitation on Liability:

IN NO EVENT SHALL CURORC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF SERVICES, EVEN IF CURORC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CURORC’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO CURORC FOR CURORC SERVICES DURING THE TERM OF MEMBERSHIP.

CURORC do not authorize any third party to accept payments on behalf of CURORC for any CURORC Service. CURORC are not liable for any payments made to a third party by CURORC Member.

CURORC cannot provide a refund or exchange on the purchase of a PDF (Portable Document Format) certificate.

11. Disputes:

If there is any dispute about or involving the CURORC Services, you agree that the dispute shall be governed by the United States law, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the United States. Either CURORC or you may demand that any dispute between you and CURORC about or involving CURORC Services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in the USA, provided that the foregoing shall not prevent CURORC from seeking injunctive relief in a court of competent jurisdiction.

12. Indemnity:

You agree to indemnify and hold CURORC, its subsidiaries and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fee, made by any third party due to or arising out of your use of CURORC Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the CURORC Website or through CURORC Services causes CURORC to be liable to another.

13. Information Collection and Use by CURORC:

CURORC collects user submitted information, such as name and e-mail address, to authenticate users and to send notifications to those users relating to CURORC service. CURORC also collects other profile data including but not limited to: personal interests, gender, age, education, and occupation.

14. CURORC also logs non-personally-identifiable information including IP address, profile information, aggregate user data, and browser type, from users and visitors to the site. This data is used to manage the Website, track usage, and improve the Website services. This non-personally-identifiable information may be shared with third-parties to provide more relevant services and advertisements to members. User IP addresses are recorded for security and monitoring purposes.

15. We may also use a user’s e-mail address to send updates, newsletters or news regarding Services. As a member, you must be willing to accept correspondences per quarter relating to your profile updates and your profile status.

16. Use of Cookies:

CURORC uses cookies to store visitors’ preferences and to record session information, for purposes including ensuring that visitors are not repeatedly offered the same advertisements and to customize newsletter, advertising, and Web page content based on browser type and user profile information. We do not link the information we store in cookies to any personally identifiable information you submit while on our site. You may be able to configure your browser to accept or reject all or some cookies, or to notify you when a cookie is set — each browser is different, so check the “Help” menu of your browser to learn how to change your cookie preferences. However, you must enable cookies from CURORC in order to use most functions on the site.

17. Links:

CURORC contains link to sites. CURORC is not responsible for privacy policies and/or practices on other sites. When linking to another site a user should read the privacy policy stated on that site. Our privacy policy only governs information collected on CURORC.

18. Chat Rooms, Journals and Web Logs, Message Boards, Classifieds, and Public Forums:

Please be aware that whenever you voluntarily post public information to Journals, Web Logs, Message Boards, Classifieds or any other Public Forums, that information can be accessed by the public and can in turn be used by those people to send you unsolicited communications.

19. Correcting/Updating or Removing Information:

CURORC users may modify or remove any of their personal information at any time by logging into their account and accessing features such as Edit Profile and Account Info.

20. Security:

CURORC member accounts are secured by member-created passwords; CURORC takes precautions to insure that member account information is kept private. We use reasonable measures to protect member information that is stored within our database, and we restrict access to member information to those employees who need access to perform their job functions, such as our customer service personnel and technical staff. Please note that we cannot guarantee the security of member account information. Unauthorized entry or use, hardware or software failure, and other factors may compromise the security of member information at any time. 21. Sharing and Disclosure of Information CURORC Collects:

Except as otherwise described in this privacy statement, CURORC will not disclose personal information to any third party unless we believe that disclosure is necessary:

  1. to conform to legal requirements or to respond to a subpoena, search warrant or other legal process received by CURORC, whether or not a response is required by applicable law;
  2. to enforce the CURORC Term of Use Agreement or to protect our rights; or
  3. to protect the safety of members of the public and users of the service.

CURORC reserves the right to transfer personal information to a successor in interest that acquires rights to that information as a result of the sale of CURORC or substantially all of its assets to that successor in interest. For more information, see the section “Changes in Our Privacy Policy” below.

22. Changes in Our Privacy Policy:

From time to time we may make changes to our privacy policy. If we make changes, we will post them on our site to make users aware of what the changes are so users will always be aware of what information we collect, how we use it, and when we may disclose it. A User is bound by any minor changes to the policy when she or he uses the site after those changes have been posted.

23. Other:

This Agreement is accepted upon your use of the CURORC Website or any of CURORC Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and CURORC regarding the use of CURORC Services. The failure of CURORC to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. CURORC is a trademark of Maganti IT Resources LLC as a Class Management Software. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
